CODE OF REGULATIONS

Article I

NAME, LOCATION, AND PURPOSE

Section 1.1 – Name: The name of this Chapter of the International Society of Glass Beadmakers, Inc. will be Fire and Rain Glass Bead Society, also referred to in this document as the “Chapter”.

Section 1.2 – Location: This Chapter is organized for membership by glass beadmakers in the Washington State area.

Section 1.3 – Purpose: This Chapter is organized and is to be operated specifically:
a. To preserve the rich and diverse tradition of the art of glass beadmaking and glassworking techniques;
b. To promote educational initiatives on historical and contemporary techniques and trends;
c. To establish programs which promote the art of glass beadmaking and glassworking to the general public as well as among collectors, potential collectors, museums, the arts community, and educational facilities; and
d. To institute communication, networking support, and professional development among the glass beadmakers in the Washington State area.

Article II

MEMBERS

Section 2.1 – Membership: Membership in the Chapter shall be open on a non-discriminatory basis to all individuals and groups who are interested in supporting contemporary glass beadmaking, who pay dues at rates established by the Chapter, and who abide by the regulations and standing rules of the Chapter. Membership is not limited by race, color, creed, gender, national origin, religious affiliation or sexual orientation.

Section 2.2 – Honorary and Complimentary Membership: From time to time at its discretion, the Fire and Rain Glass Bead Society may grant honorary or complimentary memberships to individuals or groups for whatever timeframe the Chapter chooses.

Section 2.3 – Voting: Each member in good standing shall be entitled to one vote in all general and special elections submitted to a vote by the members.

Section 2.4 – Termination of Membership: Memberships will be terminated if: a) dues are not paid by the date set by the Chapter; b) other financial obligations to the Chapter are not paid within the time constraints set by the Chapter; c) violations of the Code of Regulations, standing rules, or other behaviors that threaten the well-being of individuals or the Chapter occur. Termination will be by majority vote of Fire and Rain Glass Bead Society members present for a regular or special meeting where such matter shall be brought for a vote.

Section 2.5 – Resignation: Membership in the Chapter is continuous until or unless a member specifically declares, in writing, a desire to withdraw. Resignation does not relieve obligation of any accrued and or unpaid obligations to the Chapter.

Article III

DUES

Section 3.1 – Dues: All members, except honorary or complimentary members, shall be required to pay annual dues. The amount, method of payment, and all other details regarding dues will be determined by the Chapter and will be announced to the membership prior to going into effect.

Section 3.2 – Variances: From time to time, the Chapter Board may create variances from the established dues structure. For example, if a member must receive a printed newsletter their dues may be higher to accommodate the additional cost.

Section 3.3 – New Member Dues: New members who join and pay dues in the last quarter of the membership period will be granted paid membership status for the following year.

Article IV

OFFICERS OF THE CHAPTER

Section 4.1 – Officers: The Officers of the Fire and Rain Glass Bead Society shall be the President, Vice-President, Secretary, Treasurer, Events/Social Officer and Membership Chairperson. The President, Vice-President, Secretary, Treasurer, Events/Social Officer and Membership Chairperson will be the Chapter’s Executive Committee and the Board of Directors. Section 4.2 – Election of Officers: The President, Vice-President, Secretary, Treasurer, Events/Social Officer and Membership Chairperson will be elected by a vote of the membership.

Nominations open at the August meeting and close at the October meeting. Voting will be at the December meeting.

Section 4.3 – Term of Office: Terms of office begin January 1. All Officers shall hold their positions for a term of one year, until their successors have been duly elected and installed, or until removed as provided elsewhere in this article. Officers nearing the end of their one -year term may run for re-election for another one -year term. There will be no term limits on these positions.

Section 4.4 – Vacancies: In case any Chapter Office becomes vacant by death, resignation, retirement, disqualification, or any other cause, the Office may be filled by appointment of the President, subject to affirmative vote of the majority of the Chapter membership present at any regular or special meeting called for that purpose, although such majority may not constitute a quorum. Each person so selected to fill a vacancy shall remain an Officer until the next scheduled election and installation of his or her successor.

Section 4.5 – Responsibilities of Officers:

Section 4.5.1 – President: The President shall have and exercise general charge and supervision of the affairs of the Fire and Rain Glass Bead Society. The President shall also be in direct communication with the National Organization via the Regional Director.

Section 4.5.2 – Vice-President: At the request of the President, or in the event of the absence or disability of the President, the Vice-President shall perform the duties and possess and exercise the powers of the President.

Section 4.5.3 – Secretary: The Secretary shall distribute notice of meeting time and place to the Membership of regular Chapter and Board meetings and any Special Board meetings. The Secretary shall be responsible for taking the minutes of these meetings. The Secretary shall also oversee the distribution of the Chapter newsletter to all members.

Section 4.5.4 – Treasurer: The Treasurer shall oversee the custody of all Chapter funds and securities, shall oversee the books belonging to the Chapter and shall oversee the keeping of full and accurate accounts of all receipts, disbursements and members in good standing. The Treasurer shall, in general, perform the duties incidental to the Office of Treasurer, subject to the control of the Executive Committee. In case of the Treasurer’s death, resignation, retirement, or removal from Office, all books, papers, vouchers, money and Chapter property of whatever kind in the Treasurer’s possession or under the Treasurer’s control shall be returned.

Section 4.5.5 – Events/Social Officer: The Events/Social Officer shall be responsible for the scheduling of meeting times and places for Chapter and Board meetings and shall schedule and confirm the Demonstrations for each regular Chapter meeting.

Section 4.6 –Resignation and Removal of Officers:

Section 4.6.1 – Resignation: Any Officer may resign from office at any time by written notice to the Chapter. Such resignation shall be effective upon receipt of the notification, unless another effective date shall be specified.

Section 4.6.2 – Removal: Any Officer may be removed, either with or without cause, at any time, by a vote of the majority of remaining Officers then serving. Any Officer proposed to be removed shall be entitled to at least ten (10) days notice, in writing, by mail, of the meeting of the Board at which such removal is to be voted upon, and shall be entitled to appear before and be heard by the Board at such a meeting. The decision of the Board is final.
Furthermore, should any Officer be absent from six (6) consecutive meetings of the Chapter, Board or any committee without sending communication to the President or his or her designee stating the reasons for such absence, or if these reasons should not be accepted by the Officers, the Board may, by resolution, declare his or her seat vacant and may proceed to fill the vacancy thus created in accordance with Section 4.4 of this Article.

Article V

MEETINGS

Section 5.1 – Regular Meetings: Regular meetings of the Fire and Rain Glass Bead Society shall be held at least six (6) times per year at such times and at such places as shall be determined by the Board. Regular meetings will not take place during the month of the Gathering.

Section 5.2 – Special Meetings: Special meetings of the Officers may be called by the President or Vice-President, while acting in the capacity of the President.

Section 5.3 – Notice of Meetings: Notice of meetings will be sent via e-mail or regular mail no later than three (3) weeks prior to the meeting.

Section 5.4 – Consents: Whenever the vote of the membership is required to be taken at a meeting in connection with any group action, a member may submit their vote in writing if they are unable to attend the meeting.

Article VI

COMMITTEES

Section 6.1 – Committees: The Executive Committee may, by general resolution, delegate to committees or to Officers of the Chapter such powers as they may see fit. Each committee shall consist of two or more members and must be chaired by an Officer. Any committee charged with review of matters relating to finance, personnel, or legal issues must be comprised only of current members of the Executive Committee.

Section 6.2 – Appointment: The Officers shall have the power to create committees of its members to exercise such powers as are specifically delegated by the resolution of the Board. All such committees shall have the power to establish written rules and regulations for the conduct of their business, consistent with the laws of the State of Washington and these Regulations, and shall keep written records of their proceedings, which shall be maintained by the Chapter.

Section 6.3 – Other Committees: Other committees (for special events such as a bead show) may be appointed by the Executive Committee with concurrence of the Fire and Rain Glass Bead Society members for such tasks as circumstances warrant. Such committees shall limit their activities to the accomplishment of the particular tasks for which they are created. Upon completion of its assigned task, each such committee shall stand discharged.

Article VII

CONTRACTS, CHECKS, DEPOSITS AND FUNDS

Section 7.1 – Contracts: The Executive Committee, except as these Regulations otherwise provide, may authorize any member of the Fire and Rain Glass Bead Society to enter into contract or execute and deliver any instrument in the name of the Chapter, and such activity may be general or confined to a specific instance. Unless so authorized by the Executive Committee, no Officer, Chapter Member, or agent shall have any power or authority to bind the Chapter by any contract or engagement or to pledge its credit or render it monetarily liable for any purpose or any amount.

Section 7.2 – Bills, Notes, etc.: All bills payable, notes, checks, or other negotiable instruments of the Chapter shall be made in the name of the Fire and Rain Glass Bead Society and shall be signed in accordance with resolutions duly adopted by the group. No Officer, either alone or jointly with others, shall have the power to make any bills payable, notes, checks, drafts, warrants, or other negotiable instruments or endorse the same in the name of the Fire and Rain Glass Bead Society, except as herein expressly prescribed and provided.

Article VIII

FISCAL YEAR

The fiscal year of the Fire and Rain Glass Bead Society shall end in December of each year.

Article IX

BOOKS AND RECORDS

There shall be kept correct and complete books and records of accounts and minutes of the proceedings of the Fire and Rain Glass Bead Society.

Article X

AMENDMENTS

This Code of Regulations may be altered, amended, repealed, or added to by affirmative vote of a majority of the members of the Fire and Rain Glass Bead Society casting votes, provided that written notice shall have been sent to all members, which notices shall state the alterations, amendments or changes proposed to be made in this Code of Regulations. Only such changes as have been specified in the notice shall be made.
